Extension of the Supervisory Board of Bertrandt proposed

Supplementary motion for the 2025 Annual General Meeting

Ehningen, 27. January 2025 – The Management Board of Bertrandt has extended the agenda of the Annual General Meeting in response to a supplementary motion by Porsche. This means that shareholders will be able to decide on February 19, 2025 whether to enlarge the Supervisory Board and, if necessary, elect additional Supervisory Board members.

Bertrandt's long-standing major shareholder Porsche AG has proposed to increase the size of Bertrandt's Supervisory Board from six to nine members and has announced that it will propose two candidates for election to the Supervisory Board at the annual general meeting on February 19, 2025 who, with their personal expertise and experience on the Supervisory Board, can support the strategic development of Bertrandt AG. 

In response to a corresponding motion to supplement the agenda of Porsche's Annual General Meeting, Bertrandt's Management Board has extended the agenda. It was published on Friday in the Federal Gazette and on the Company's website.

Bertrandt AG announced: “As a major shareholder and customer, Porsche has been an important strategic partner of Bertrandt for decades. In view of the dynamic transformation of the automotive industry and our company, we welcome Porsche's willingness to contribute further expertise to the strategic work of the Supervisory Board.”

Porsche AG stated: “Bertrandt is an important strategic investment for Porsche. We would therefore like to support the company in its transformation into a leading international, diversified engineering service provider with additional expertise. Of course, Bertrandt's independence will be preserved. It is an important basis for the company's success.”
